INTRODUCTION

This Amendment No. 3 (this “Amendment”) amends and supplements the Tender Offer Statement on Schedule TO (“Schedule TO”) originally filed with the Securities and Exchange Commission by White Mountains Insurance Group, Ltd., a company organized under the laws of Bermuda (the “Company”), on February 24, 2012, relating to the offer by the Company to purchase 1,000,000 of its issued and outstanding Common Shares, par value $1.00 per share (the “Common Shares” or the “Shares”), or such lesser number of Shares as is properly tendered and not properly withdrawn, at a price of $500 per Share, net to the seller in cash, less any applicable withholding taxes and without interest, upon the terms and subject to the conditions set forth in the Offer to Purchase dated February 24, 2012 and in the related Letter of Transmittal.

This Amendment is being filed in satisfaction of the reporting requirements of Rule 13e-4(c)(4) promulgated under the Securities Exchange Act of 1934, as amended. Except as otherwise set forth below, the information set forth in the Schedule TO, including all exhibits thereto that were previously filed with the Schedule TO, remains unchanged and is incorporated herein by reference as relevant to the items in this Amendment.

On March 23, 2012, the Company issued a press release announcing the preliminary results of the Offer, which expired at 12:00 midnight, New York City time, on March 22, 2012.  A copy of the press release is attached hereto as Exhibit (a)(5)(B) and incorporated herein by reference.

WHITE MOUNTAINS ANNOUNCES
PRELIMINARY RESULTS OF ITS TENDER OFFER
 
HAMILTON, Bermuda, March 23, 2012 -- White Mountains Insurance Group, Ltd. (NYSE: WTM) announced today the preliminary results of its tender offer.  The tender offer expired at 12:00 midnight, New York City time, on March 22, 2012.
 
Based on a preliminary count by the depositary for the tender offer, 817,022 shares were properly tendered and not properly withdrawn, including 14,905 shares that were tendered by notice of guaranteed delivery. The Company will purchase all shares properly tendered and not properly withdrawn at a price of $500.00 per share, for a total cost of $408,511,000, excluding fees and expenses related to the tender offer.
 
The preliminary information contained in this press release is subject to confirmation by the depositary and is based on the assumption that all shares tendered by notice of guaranteed delivery will be delivered within the three trading day settlement period.  The final number of shares purchased will be announced following the expiration of the guaranteed delivery period and completion by the depositary of the confirmation process.  Payment for shares accepted for purchase under the tender offer will be made today by deposit of the aggregate purchase price for 817,022 shares with the depositary, which is acting as agent for tendering shareholders for the purpose of receiving payments from the Company.  The transmittal by the depositary of such payments to tendering shareholders whose shares have been accepted for payment, and the return of all other shares tendered and not purchased, will be made promptly after the final results of the tender offer are announced.
 
The Company expects to have approximately 6,631,441 common shares outstanding after purchases in the tender offer.
