ITEM 8.01  Other Events.

OneBeacon Insurance Group has received a civil investigative demand from the Attorney General of the Commonwealth of Massachusetts requesting documents and seeking information relating to the conduct of business between insurance brokers and OneBeacon. We believe the civil investigative demand is part of the ongoing, industry-wide investigation regarding industry sales practices. We are cooperating in responding to the civil investigative demand.
